These Terms and Conditions (“Terms”) govern your access to and use of the Website and any services, products, or features provided through the Website (collectively, the “Services”).
2. Acceptance of Terms
By accessing or using the Website and Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website or Services.
We reserve the right to update these Terms at any time. Any changes will be effective immediately upon posting on the Website. Continued use of the Services after changes have been posted constitutes acceptance of the revised Terms.
3. Description of Services
Docy provides an AI execution and compliance platform that enables organisations to fingerprint, validate, audit, and replay AI decisions. Our Services include:
- Docy Studio: a no-code builder for configuring AI document workflows, compliance rules, and approval chains
- Docy Engine: an enterprise API for programmatic access to the execution pipeline, audit trail, and decision replay
- Decision Records: immutable, tamper-proof records of AI decisions with full audit trail
- Domain Rule Sets: industry-specific compliance rules for energy, finance, accounting, and other regulated sectors
4. Registration and Account
To access certain features of the Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password confidential and secure
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate your account if any information provided is inaccurate, not current, or incomplete.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe the intellectual property rights of any third party

Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). You authorize us to charge your designated payment method for all applicable fees.
We reserve the right to modify our pricing at any time. Changes to pricing will not affect the current billing period but will apply to subsequent renewals. We will provide reasonable notice of any price changes.
9. Payments
All payments are processed through our third-party payment processor. By providing your payment information, you represent and warrant that you are authorized to use the designated payment method.
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your use of the Services.
10. Refunds
Refund requests are handled on a case-by-case basis. If you are unsatisfied with the Services, you may contact us within 14 days of your initial purchase to request a refund.
Refunds do not apply to usage-based charges or token consumption that has already been processed.
11. Intellectual Property
All intellectual property rights in the Website, Services, and their content (including but not limited to software, text, graphics, logos, and trademarks) are owned by or licensed to Docy Inc.
You retain ownership of any data, documents, or content you upload to the Services (“Your Content”). By uploading Your Content, you grant us a limited, non-exclusive license to process it solely for the purpose of providing the Services.
You must not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any of our intellectual property without our prior written consent.
12. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy or reliability of any AI-generated outputs
AI-generated outputs provided through the Services are intended to assist decision-making and should not be relied upon as the sole basis for any regulatory, legal, or financial decision without independent verification.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Docy AI., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Services.
Our total aggregate liability for any claims arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.
14. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us or through your account settings.
Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnity) will continue in effect.
We will provide reasonable access to your data for export purposes for a period of 30 days following termination, after which your data may be permanently deleted.
15. Indemnity
You agree to indemnify, defend, and hold harmless Docy AI. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party intellectual property or other rights
16. Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation.
If the dispute cannot be resolved through negotiation within 30 days, either party may refer the dispute to mediation administered by a mutually agreed-upon mediator. If mediation fails, the dispute shall be resolved through binding arbitration or litigation in the courts of competent jurisdiction.
17. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia, for the resolution of any disputes arising out of or in connection with these Terms.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
19. Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements entered into in connection with specific Services, constitute the entire agreement between you and Docy AI. with respect to your use of the Services.
